Terms and Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://azpire.tech/ (the “Site”) and any services, consultations, account access solutions, media buying, invoicing support, and related business services offered by Azpire LLC (“Azpire,” “we,” “us,” or “our”). By accessing or using the Site or engaging our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Site or Services.

1. Eligibility
You must be at least 18 years old and legally able to enter into binding contracts to use this Site or engage our Services. If you use the Site or Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
2. Services Overview
Azpire provides digital advertising-related solutions, which may include:
- strategic consultancy
- media buying support
- invoice management solutions
- access to verified or managed advertising account infrastructure
- campaign support and optimization
- related advisory and support services
Service availability, scope, timelines, platform coverage, account eligibility, billing structure, and support terms may vary and may be subject to separate proposals, statements of work, invoices, onboarding documents, service agreements, or written communications. The Site describes these services generally, including Meta, Google, TikTok, and LinkedIn-related support.
3. No Affiliation with Third-Party Platforms
Unless expressly stated in writing, Azpire is not owned by, operated by, or officially affiliated with Meta, Google, TikTok, LinkedIn, or any other third-party advertising platform. Any trademarks, logos, and platform names belong to their respective owners.
Your use of any third-party advertising platform remains subject to that platform’s own rules, policies, and agreements.
4. Business Use Only
The Site and Services are intended primarily for business, agency, advertiser, media buyer, reseller, and brand use. You agree to use the Site and Services only for lawful business purposes and in compliance with all applicable laws, regulations, and platform requirements.
5. Client Responsibilities
You agree that you will:
- provide accurate, current, and complete information
- maintain the confidentiality of your own credentials and internal systems
- cooperate with onboarding, verification, and compliance requests
- use any advertising account, service, or infrastructure lawfully and in accordance with platform policies
- ensure that your ads, creatives, landing pages, products, offers, targeting, and campaigns comply with applicable laws and platform rules
- promptly pay invoices, fees, and charges owed to Azpire under agreed terms
- avoid fraudulent, deceptive, misleading, infringing, prohibited, or high-risk activity
- refrain from interfering with the Site, Services, or systems used to provide them
You remain solely responsible for your business operations, campaigns, offers, creatives, customer interactions, regulatory obligations, and third-party platform compliance.
6. Verification, Approval, and Refusal of Service
Azpire may require identity, business, compliance, risk, financial, or platform-related verification before providing Services. We may suspend, limit, refuse, or terminate Services at our discretion where we identify elevated risk, suspected fraud, non-compliance, abusive behavior, unpaid balances, legal issues, or platform-policy concerns.
Nothing on the Site guarantees that any particular client, campaign, account request, spending limit, billing arrangement, or platform support request will be approved.
7. Fees, Billing, and Payment
Fees for Services may be set out on the Site, in a proposal, invoice, statement of work, service agreement, or other written communication.
By engaging our Services, you agree to:
- pay all applicable fees, invoices, and charges when due
- provide accurate billing and payment information
- remain responsible for taxes, duties, levies, and charges unless expressly stated otherwise
- pay any late fees, collection costs, chargeback costs, or currency conversion costs where permitted by law and agreed terms
If Services involve invoice-based billing, credit arrangements, or account-spend management, additional payment and risk terms may apply and may be stated separately in your commercial agreement.
8. No Guarantee of Results
Azpire does not guarantee:
- campaign performance
- ad approval
- uninterrupted account availability
- uninterrupted platform access
- specific ROI, ROAS, conversions, revenue, reach, or lead volume
- freedom from platform restrictions, suspensions, or enforcement actions
Advertising performance depends on many factors outside our control, including platform rules, auction conditions, product-market fit, creative quality, competitor behavior, user behavior, budget, timing, and compliance factors.
9. Account Access and Platform Risk
Where Azpire provides or facilitates access to advertising account infrastructure or billing arrangements, you acknowledge that:
- platform rules may change at any time
- platforms may restrict, review, suspend, reject, or disable accounts or campaigns
- investigations and replacements may require time and documentation
- service continuity may depend on platform, partner, risk, and compliance conditions
- separate service-specific remedies, if any, may be defined in a written agreement
Any replacement, credit, or service remedy is governed solely by the applicable written commercial terms, not by general statements on the Site.
10. Intellectual Property
All content on the Site, including text, graphics, branding, design, layout, logos, software, materials, and content created by or for Azpire, is owned by Azpire or its licensors and is protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful business purposes. You may not:
- copy, reproduce, republish, modify, or distribute Site content without permission
- reverse engineer or interfere with Site functionality
- use our name, branding, or content in a misleading way
- scrape, crawl, or harvest Site data except as permitted by law
11. User Content and Submissions
If you submit content, information, documents, creatives, messages, or other materials to us, you represent that:
- you own them or have the right to provide them
- they do not violate law or third-party rights
- they are accurate and not misleading
You grant us a limited right to use submitted materials as necessary to review requests, provide Services, communicate with you, improve operations, and comply with legal obligations.
12. Acceptable Use
You may not use the Site or Services to:
- violate any law or regulation
- infringe intellectual property or privacy rights
- engage in fraud, deception, phishing, abuse, spam, or malware activity
- run prohibited, misleading, or unlawful advertising campaigns
- interfere with the security or operation of the Site or Services

- impersonate another person or business
- upload malicious code or harmful content
13. Third-Party Services
The Site and Services may involve third-party services, tools, and platforms. Azpire is not responsible for third-party systems, outages, policy decisions, actions, data practices, or terms. Your use of third-party services is at your own risk and subject to those third parties’ terms.
14. Disclaimers
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
AZPIRE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED AVAILABILITY.
We do not warrant that the Site or Services will be error-free, secure, uninterrupted, or free from harmful components, or that any issue will be corrected within a particular timeframe.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AZPIRE AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, PARTNERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AZPIRE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AZPIRE FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Azpire and its officers, members, employees, contractors, affiliates, partners, and licensors from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your use of the Site or Services
- your business, campaigns, offers, products, or advertising materials
- your violation of these Terms
- your violation of any law, regulation, or third-party right
- your misuse of any advertising account, platform access, or billing arrangement
17. Suspension and Termination
We may suspend or terminate your access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms, created risk, failed verification, failed payment obligations, or exposed us or our partners to legal, compliance, reputational, or operational harm.
Termination does not relieve you of payment or other obligations that accrued before termination.
18. Confidentiality
Where we exchange non-public business information in connection with Services, each party should protect the other party’s confidential information using reasonable care. If a separate NDA or service agreement applies, that agreement will control to the extent of any conflict.
19. Privacy
Your use of the Site and Services is also subject to our Privacy Policy.
20. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles, except where mandatory law requires otherwise.
21. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Site shall be brought in the state or federal courts located in Wyoming, and each party consents to the jurisdiction and venue of those courts, unless otherwise required by applicable law or otherwise agreed in writing.
22. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date. By continuing to use the Site or Services after revised Terms become effective, you agree to the updated Terms.
23. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
24. Entire Agreement
These Terms, together with any applicable proposal, statement of work, invoice, service agreement, or other written agreement between you and Azpire, constitute the entire agreement relating to the Site and Services, except where a separate written agreement expressly supersedes these Terms.
